End-User License Agreement

Effective Date: February 22, 2026

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and Homer Fire Protection (“Company,” “we,” “us,” or “our”) governing your use of the PayNow Workflow application (“Application”), which integrates with Intuit QuickBooks Online (“QBO”) and Valor Pay Tech payment services.

By installing, accessing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Application.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the purpose of generating payment links from QuickBooks Online invoice data through the Valor Pay Tech payment platform, in connection with your authorized QuickBooks Online account.

2. Description of the Application

The Application retrieves invoice information (including invoice number, balance, customer name, email address, and due date) from your QuickBooks Online account via the Intuit QuickBooks API. It then transmits that invoice data to Valor Pay Tech to generate a hosted payment link (“PayNow link”) that can be shared with your customers to collect payment.

3. QuickBooks Online Authorization

To use the Application, you must authorize it to access your QuickBooks Online account through Intuit’s OAuth 2.0 process. By doing so, you confirm that you have the authority to grant such access and that your use of QBO data complies with Intuit’s terms of service. You may revoke this authorization at any time through QuickBooks Online or through the Application’s settings.

4. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or sublicense the Application or any portion thereof;
  • Reverse engineer, decompile, or disassemble the Application;
  • Use the Application for any unlawful purpose or in violation of any applicable laws or regulations;
  • Use the Application to process transactions you are not authorized to process;
  • Remove or alter any proprietary notices, labels, or marks on the Application;
  • Share your Application credentials or allow unauthorized third parties to access the Application through your account.

5. Third-Party Services

The Application relies on third-party services, including Intuit QuickBooks Online and Valor Pay Tech. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of any third-party service, and we make no warranties regarding them.

6. Data Handling

The Application accesses your QuickBooks Online invoice data in read-only mode. It does not modify, delete, or write data to your QuickBooks Online account. OAuth tokens are stored locally on your machine and are not transmitted to Homer Fire Protection or any third party other than Intuit (for authentication) and Valor Pay Tech (for payment link generation). 7. Intellectual Property

The Application, including all code, design, and documentation, is the property of Homer Fire Protection and is protected by applicable intellectual property laws. This Agreement does not transfer any ownership rights to you.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT PAYMENT LINKS GENERATED WILL FUNCTION CORRECTLY AT ALL TIMES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMER FIRE PROTECTION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Homer Fire Protection, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of your use of the Application, your violation of this Agreement, or your violation of any applicable law or regulation.

11. Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Application at any time, with or without cause, with or without notice. Upon termination, you must cease all use of the Application. Sections 7 through 10 shall survive termination.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Texas.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Updated versions will be posted at this URL with a revised effective date. Your continued use of the Application after any changes constitutes acceptance of the updated terms.
